The acquisition of an artwork through Composition Gallery does not transfer copyright or any other intellectual property rights in the image or the artwork itself to the buyer. Buyers are entitled only to the physical possession and enjoyment of the purchased artwork for personal use, in accordance with the terms of sale. All written materials produced by or for Composition Gallery, including artwork descriptions and content on the Site, are created in-house and remain the intellectual property of Composition Gallery. These materials may not be copied, reproduced, or used by any party without Composition Gallery's prior written consent.

Our goal at Composition Gallery is to ensure your satisfaction. If a dispute arises between you and Composition Gallery, we encourage you to contact us directly at contact@composition.gallery so we can work towards a resolution. In the event of a dispute arising from or relating to these terms or the use of our services, parties agree first to attempt to resolve the dispute informally. Should informal resolution be unsuccessful, the dispute will be resolved through binding arbitration in accordance with the laws of Georgia (Country). Arbitration will be conducted by a single arbitrator mutually agreed upon by the parties. The arbitration's decision will be final and binding, with no right to appeal.Consider modifying this clause to allow for limited judicial review of the arbitration award, especially in cases of fraud, misconduct, or evident partiality. Also consider adding a clause that allows for a choice of law other than Georgian, depending on where the buyer is.
(B) CONDITIONS OF BUSINESS
These Conditions of Business govern the relationship between you, the buyer, and Composition Gallery (referred to as "we," "us," or "our"), regarding your purchase of artwork(s) from www.composition.gallery (the "Site"). As Composition Gallery directly sells artworks through the Site, these Conditions of Business set out the terms on which we sell and you buy the artworks.
By making a purchase on the Site, you acknowledge that you are bound by these Conditions of Business. The agreement between you and Composition Gallery regarding your purchase includes these Conditions of Business and any other terms and conditions applicable to the sale of artwork(s) as displayed or linked on the artwork page on the Site (the "Additional Terms"). In the event of a conflict between these Conditions of Business and the Additional Terms, the Additional Terms shall prevail.
We reserve the right to amend these Conditions of Business and the Additional Terms from time to time. Any such amendments will be communicated to you by posting updates on the Site. It is important that you review these Conditions of Business and any Additional Terms carefully before making a purchase on the Site.

Composition LLC operates www.composition.gallery as an online shop where we sell contemporary art. All artworks are sourced by Composition Gallery, and we are responsible for the sale and delivery of these artworks to buyers for the purchases made from Composition Gallery.

Artworks sold through Composition Gallery are subject to our commitment to authenticity and quality. However, given the nature of art:

(a) While we endeavor to provide accurate information and descriptions for all artworks we sell, it is important to note that our knowledge of each artwork is based on the information available to us, including our direct examination and expertise. You are encouraged to review the provided descriptions and images on the Site carefully.

(b) We understand the importance of the artwork's condition to our buyers. You are welcome to inquire further about any artwork's condition before completing your purchase. Although we strive to provide thorough descriptions, please be aware that many artworks, especially older ones, may show signs of age, wear, or past restoration.

(c) Artwork descriptions on the Site may refer to their condition. We aim to provide accurate visual representations through photographs, but please be mindful that variations in color and detail may occur due to digital reproduction. If specific condition details are crucial to your purchasing decision, we recommend contacting us for further information.

(d) All artworks are sold in the condition they are in at the time of the sale. While we make every effort to ensure the accuracy of artwork descriptions and condition reports, these are based on our assessment and are provided for guidance only. (e) The information and descriptions provided for each artwork, whether on the Site or through direct communication, represent our understanding and opinion of the piece. These are not warranties but are intended to offer a basis for informed decision-making.

(f) Except for the express Limited Authorship Guarantee provided in Section 18 of these Conditions of Business, all artworks are sold "AS IS," and Composition Gallery makes no other warranties, express or implied, regarding the artwork's condition, merchantability, or fitness for a particular purpose, to the fullest extent permitted by applicable law.

(a) Composition Gallery retains the authority to accept, reject, or revoke any offer or purchase at any stage of the transaction process. Our record of sale is deemed conclusive in resolving any disputes that arise post-sale.

(b) To purchase an artwork, buyers are required to provide accurate personal information, including email address, full name, address, and phone number, through our purchase or offer process. This process includes verification steps such as email verification, confirmation of address and phone number. All buyers must be at least 18 years old.

(c) To complete a purchase, a buyer selects "BUY" on the artwork detail page, there by agreeing to purchase the artwork at the listed price. The buyer must then follow through with the purchase process on the Site. An email confirmation will be sent upon successful completion of the purchase

(a) For all artworks offered for sale on the Site, we ensure direct control over the quality and authenticity of the artwork sold.

(b) Composition Gallery may, at its discretion, withdraw any artwork from sale on the Site. This measure ensures the integrity of our offerings and the satisfaction of our buyers. In the event of any dispute post-sale, our sale record will be considered final.

(c) Sales conducted on Composition.gallery are typically in USD, EUR, or GBP. All payments must be made in the agreed currency, as confirmed by Composition Gallery prior to the completion of the purchase.

(d) Composition Gallery reserves the right to reject or revoke any offer or purchase in specific circumstances, such as suspected fraudulent activity, inability to verify buyer information, discovery of significant issues with the artwork's condition or availability after the purchase, or other circumstances that would make fulfilling the order impossible or inadvisable. In such cases, Composition Gallery will promptly notify the buyer and provide a refund if payment has been made.

(a) When purchasing an artwork, the buyer is responsible for the agreed purchase price, along with shipping costs (detailed in Paragraph 9), plus any applicable sales tax, use tax, VAT, or other taxes due.

(b) All taxes are payable in compliance with applicable laws. Prices, fees, charges, and expenses listed in these Conditions of Business are quoted exclusive of any applicable taxes.

(c) Buyers may incur additional taxes and charges such as import VAT and customs duty if the artwork is shipped internationally. Composition Gallery is not responsible for collecting or paying these additional taxes and charges; they are the buyer's responsibility.

(d) Prompt payment of the Total Amount Due is crucial. The buyer has five (5) calendar days to pay the invoice - after which we can put the artwork for sale again. For purchases made using the "Buy Now" option, payment must be completed immediately via bank wire, credit card, or another specifically agreed-upon method in writing.

(e) Payments are to be made in the currency specified by Composition Gallery, either by credit card or wire transfer, according to the following conditions: (i) Visa and MasterCard are accepted for some purchases, subject to a processing fee. (ii) Wire transfer payments should be made directly to Composition Gallery, with the invoice number clearly indicated.

(f) Credit card purchases are currently limited to USD 10,000 per transaction. For purchases exceeding this amount, please contact us to arrange for alternative payment methods.

(g) In the event of a credit card or debit card chargeback initiated by the buyer that is determined to be unjustified by the card issuer, the buyer is required to reimburse Composition Gallery within seven (7) days for: (i) The chargeback amount. (ii) All related third-party expenses (including bank or payment processor fees). (iii) An administration fee of USD 200.00, including VAT. (iv) All costs, losses, and expenses incurred by Composition Gallery in recovering these amounts, including legal and debt collection fees.

(h) If a separate invoice for shipping is issued, it must be paid within five (5) Business Days using the payment methods described above.

(j) Composition Gallery only accepts payments for purchased artworks from the buyer, unless an alternative arrangement has been agreed upon prior to the sale. Composition Gallery does not accept cash payments and reserves the right to request verification of the buyer's identity, confirmation of address, and source of funds for new clients.

(a) Ownership of an artwork passes to the buyer once Composition Gallery / the seller has received full payment for the artwork, including the Buy Now price and any applicable taxes (the "Purchase Price"), in cleared funds.

(b) For buyers in the EU subject to Directive 2011/83/EU on consumer rights, if a buyer exercises the right to cancel a purchase within the stipulated period, ownership of the artwork will revert to Composition Gallery / seller upon notification of the cancellation.

(c) For international sales, the transfer of ownership and risk shall be further governed by the applicable Incoterms (International Commercial Terms) agreed upon by Composition Gallery and the buyer at the time of purchase. Unless otherwise agreed in writing, the default Incoterm shall be DAP (Delivered At Place), which means that Composition Gallery is responsible for arranging transportation to the named destination, but the buyer is responsible for import clearance and any applicable duties and taxes.

(a) The risk of loss or damage to the artwork passes to the buyer upon Composition Gallery's receipt of the full Purchase Price in cleared funds.

(b) For EU buyers making a purchase under Directive 2011/83/EU, if the buyer cancels the sale, the risk of loss or damage remains with the buyer until the artwork is returned to Composition Gallery or delivered to Composition Gallery's designated shipping agent, or to the seller. The buyer is responsible for insuring the artwork against loss or damage during this return process.

(a) Delivery of the artwork to the buyer occurs when the artwork is handed over to the shipper by the seller, for packing and shipping.

(b) Composition Gallery will not release an artwork for delivery until the Total Amount Due has been received in cleared funds, all outstanding amounts owed to Composition Gallery are paid, and any necessary anti-money laundering or anti-terrorism financing checks have been satisfactorily completed. Buyers are given 48 hours from the receipt of the artwork to inspect and approve their purchase. Artworks must be opened and inspected immediately upon arrival, with all packaging materials saved. In the event of any visible damage to the package, this damage should be noted on the shipper's receipt slip before opening. The package should then be opened and the contents inspected. Composition Gallery must be notified by email at contact@composition.gallery within 48 hours of any damage, with accompanying photographs of the damaged packaging and artwork.

(a) Composition Gallery will facilitate the packing and shipping of artworks purchased on the Site upon the buyer's request.

(b) While Composition Gallery mostly directly manages the sale of artworks, packing and shipping services are outsourced to third-party shippers. Upon your request and at your expense, we will arrange for these services. The chosen shipper will pack and ship the artwork to the address you designate.

(c) The standard shipping timeline from the payment of artwork and shipping fees to delivery ranges from three (3) to four (4) weeks for shipments within the continental United States or countries within the European Union, and up to eight (8) weeks for all other destinations. These are estimates only and may be affected by factors outside of Composition Gallery's control, such as customs processing, carrier delays, and unforeseen circumstances.

(d) At the buyer's request, shipping will be managed through one of Composition Gallery’s trusted shipping partners, including FedEx, UPS, DHL, BPOST, EMS, TNT, among others.

(e) Buyers are responsible for all packing and shipping costs. If the Site does not automate shipment for an artwork, our shipping department will contact you to arrange shipment and inform you of the costs. A separate shipping invoice will be issued, which must be settled within seven (7) Business Days from its date. Shipment processing will only commence once full payment for both the artwork and shipping has been received in cleared funds.

(f) Composition Gallery commits to releasing the artwork for shipping within five (5) to fourteen (14) calendar days upon receiving the full payment in cleared funds. In the unlikely event that there is a delay in releasing the artwork beyond this period without justified reason, and if not remedied within fourteen (14) calendar days after receiving written notice from us, we will refund the full amount paid for the artwork, and the sale will be considered null and void. The buyer shall have no further claims against Composition Gallery, including for loss or damage, costs, or expenses.

(a) Composition Gallery can arrange for the packing and shipping of purchased artworks at the buyer or seller's request. A shipping quote will be provided at the time of purchase or shortly thereafter.

(b) Claims for loss or damage to the artwork must be submitted in writing to Composition Gallery no later than two (2) business days after delivery to the buyer or the buyer’s designated representative. Supporting documentation, including images of the damage and all original packaging, must be provided to facilitate the investigation of the claim.

(a) If a buyer fails to make payment of the Total Amount Due for an artwork as stipulated in these Conditions of Business (namely, within five (5) calendar days of the invoice date), Composition Gallery may, in our sole discretion, exercise one or more of the following remedies:
(i) Store the artwork at Composition Gallery's premises or elsewhere, at the buyer's expense and risk.
(ii) Cancel the sale, retaining any partial payment as liquidated damages.
(iii) Require future purchases to be subject to payment of a deposit.
(iv) Charge interest at a rate of 12% per annum from the due date until payment is received in full.
(v) Exercise a lien over any buyer's property in Composition Gallery's possession, arranging the sale of such property to offset the unpaid amount, after deducting our standard commission and all related expenses. Any remaining balance will be returned to the buyer, with the buyer being liable for any shortfall.
(vi) Resell the artwork through commercially reasonable efforts, which may include a private sale or public auction. Composition Gallery will notify the defaulting buyer of the intended resale method. The defaulting buyer shall be liable for any shortfall between the resale price and the original Purchase Price, including Composition Gallery's standard commission on both the original and resale transactions, and all reasonable resale expenses.
(vii) Initiate legal proceedings to recover the outstanding Purchase Price, interest, and legal expenses.
(viii) Offset any outstanding amounts owed by the buyer against any amounts Composition Gallery may owe to the buyer in other transactions.
(ix) Take any other action deemed necessary or appropriate to recover the unpaid amount.

(b) If the buyer defaults on payment to any affiliated companies of Composition Gallery, the buyer authorizes Composition Gallery to pledge the buyer's property as security for the payment of the outstanding amount. Composition Gallery will notify the buyer if such a pledge is made

Composition Gallery reserves the right to rescind a sale if there is a reasonable belief of a material breach of our representations or if an adverse claim by a third party arises, without prior notice to the buyer.

(a) Regulatory Compliance: Buyers are responsible for ensuring compliance with all applicable laws and regulations regarding the export and import of artworks purchased from Composition Gallery. This includes obtaining any necessary licenses or permits for the export or import of artworks, whether due to restrictions based on cultural heritage, endangered species, or other regulatory controls. Composition Gallery makes no representations or warranties about the legal status of an artwork concerning export or import restrictions.

(b) Geographic Restrictions: Some artworks may be subject to geographic-specific shipping restrictions. Buyers should verify the possibility of shipping to their desired destination before making a purchase. Composition Gallery reserves the right to cancel a sale if, upon further review, it is determined that the artwork cannot be legally or practically shipped to the buyer's location.

(c) Endangered Species and Restricted Materials: Artworks containing materials from endangered species or other restricted materials are identified as such on the Site. This includes, but is not limited to, ivory, tortoiseshell, crocodile skin, rhinoceros horn, whalebone, certain species of coral, and Brazilian rosewood. Buyers are advised that the importation of items containing such materials is heavily regulated and, in some cases, prohibited by various countries. For example, the United States prohibits the importation of items containing African elephant ivory. It is the buyer's responsibility to verify the legality of importing an artwork containing such materials into their country. (a) Composition Gallery expressly disclaims, and accepts no liability for:

(i) Errors or failures to execute purchases on the Site, caused by factors including, but not limited to, loss of connectivity, software malfunctions, glitches, bugs, inaccuracies on our website, inability to access the Site, issues with your internet connection, computer or mobile device, and viruses or other malicious software obtained by accessing the Site.

(ii) The conduct of any sale, except as explicitly covered under our Limited Authenticity Warranty.

3. (iii) Representations, warranties, or any terms implied into contracts by law that are the direct responsibility of Composition Gallery as the seller.

4. (iv) Indirect or consequential loss or damage including loss of profit, business, opportunity, anticipated savings, goodwill, revenue, or any wasted expenditure.

(b) If Composition Gallery is found to be liable for any reason in connection with the sale of an artwork or the provision of services, our total aggregate liability to you shall be limited to the purchase price of the artwork in question or USD 5,000, whichever is greater. Consider implementing a tiered liability limit based on the purchase price of the artwork.

(c) In the context of Composition Gallery's operations, since Composition Gallery acts as the direct seller, reference to "Seller" in the context of liability will apply to Composition Gallery itself. Thus, any liability in connection with the sale of an artwork is limited as described in clause (b) above.

(d) Nothing in these Conditions of Business shall exclude or limit Composition Gallery’s liability for fraud or fraudulent misrepresentation, or for death or personal injury resulting from our negligence.

(e) It is important to note that some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so these limitations or exclusions may not apply to you, especially if you are purchasing as a consumer.

(a) Buyers are required to fully pay for and take physical delivery of any artwork purchased on the Site before offering it for resale. This ensures that the sale process is complete and that the buyer has taken proper possession of the artwork.

Composition Gallery guarantees that the artwork you purchase will be as described on our website and any accompanying Certificate of Authenticity. If you, as the buyer, find that the artwork does not match its description or the details provided in the Certificate of Authenticity, you must notify us within two (2) weeks from the date of delivery. Failure to do so will result in the waiver of any claims regarding discrepancies in the artwork’s description.
Should there be a dispute regarding the artwork's authenticity, and it is determined not authentic by the artist or the artist's estate, this sale will be voided, and all payments refunded to the buyer. Authentication must be directly confirmed in writing by the artist or the artist's estate. Opinions from auction houses or their employees are not considered definitive judgments of authenticity.
In any case, Composition Gallery's liability to you for any claims related to the purchase of the artwork shall not exceed the amount you paid for it. You expressly agree not to seek damages beyond the purchase price of the artwork. This is superseded by any higher liability limit established in Section 15(b).
This guarantee and the conditions for claims ensure that your purchase is protected against discrepancies in authorship and authenticity, providing a clear path for resolution while respecting the integrity of the transaction.

Sales taxes (hereafter referred to as “Sales Tax”), which may include state and local sales, use, VAT, excise, assessments, duties, imposts, fees, or any similar charges, may apply to the purchase price of artworks outside the jurisdiction of Composition Gallery. The Buyer is responsible for any Sales Tax due on the purchase. If Sales Tax is not collected at the time of sale but is later assessed by a taxing authority, the Buyer agrees to indemnify and hold Composition Gallery harmless from any Sales Tax, interest, fees, or penalties incurred from the purchase.
The Buyer must pay any such due amounts to Composition Gallery within ten (10) days after receiving a demand for payment. It is advisable for Buyers to consult with their tax advisor to understand their Sales Tax obligations fully.

In the event a product is listed at an incorrect price due to a typographical error, Composition Gallery reserves the right to correct the price before an order is placed. If an order is placed at an incorrect price, Composition Gallery reserves the right to refuse or cancel any such orders, whether or not the order has been confirmed and your payment method charged. If your payment method has already been charged for the purchase and your order is canceled, Composition Gallery shall issue a credit to your payment method account in the amount of the incorrect price.

(a) These Conditions of Business, along with any Additional Terms and updates, constitute the full agreement between you and Composition Gallery regarding our services and sales. They replace all previous agreements, whether written, oral, or implied.

(c) You may not transfer or assign your rights under these Conditions of Business without our explicit written consent. However, these conditions are binding on your successors and authorized representatives.

(d) If any part of these Conditions of Business is found to be invalid, void, or unenforceable, the remainder of the terms will still apply.

(e) No failure or delay by Composition Gallery in exercising any right under these Conditions will waive any further exercise of that right.

(a) The legal relationship between you, Composition Gallery, and any purchases made through Composition.gallery is governed by the laws of Georgia (Country). This includes any disputes or claims arising from these transactions or related to these Conditions of Business and any Additional Terms. In the event of a dispute arising from or relating to these terms or the use of our services, parties agree first to attempt to resolve the dispute informally. Should informal resolution be unsuccessful, the dispute will be resolved through binding arbitration in accordance with the laws of Georgia (Country). Arbitration will be conducted by a single arbitrator mutually agreed upon by the parties. The arbitration's decision will be final and binding, with no right to appeal. (b) By making a purchase, you agree to submit to the jurisdiction of state and federal courts located in Georgia (Country) for any disputes or claims associated with these Conditions of Business, any Additional Terms, and any purchases made on the Site.
