Part A — Terms of Use of the Website
1. Who we are
This website, www.composition.gallery (the “Site”), is operated by Composition LLC, a limited liability company registered in Georgia (country), company number 404619169, registered office: Liberty Square 1 (entrance Leonidze 2a, space 7), 0105 Sololaki, Georgia. Purchases may be concluded by either Composition LLC (Georgia) or our affiliate Composition Limited, a company registered in Hong Kong, company number 77997042, registered office: 23 Thomson Road, Unit B, 11/F, Wan Chai, Hong Kong — as identified on your order confirmation and invoice. In these Terms, “Composition”, “we”, “us” and “our” mean Composition LLC and, where it is identified as the seller on your order confirmation and invoice, Composition Limited. “You” means the visitor to, or customer of, the Site.
2. About these Terms
These Terms of Use govern your access to and use of the Site. Your purchase of an artwork is governed by the separate Conditions of Sale in Part B below. Where both apply and conflict on a sale matter, Part B prevails. By using the Site you agree to these Terms of Use; if you do not agree, please do not use the Site.
3. What Composition is
Composition is a principal art dealer. We select, present and describe artworks ourselves, and we sell directly to our clients as the seller of those works. The Site is not an online marketplace or platform: it hosts no third-party seller accounts, no third-party listings, no user-generated content and no user-to-user transactions. You deal directly with Composition. Browsing the Site creates no obligation to buy; any sale is subject to the Conditions of Sale in Part B.
4. Changes
We may update these Terms from time to time. Changes take effect when posted, and the version in force when you order governs that order. Please review them before each purchase.
5. Eligibility
We do not offer user accounts. You must be 18 or older to purchase, which you confirm when you place your order.
6. Acceptable use
You agree not to use the Site for anything unlawful, fraudulent, misleading, defamatory, harassing or infringing; to upload malicious code; to scrape, harvest or data-mine the Site; or to disrupt it or attempt unauthorised access. We may restrict or refuse access where we reasonably consider these Terms breached.
7. Privacy and copyright
Your personal data is handled under our Privacy Policy. Intellectual property is dealt with in our Copyright & Intellectual Property page, which forms part of these Terms.
8. Site content and accuracy
We present artworks as accurately as we reasonably can, but colours, scale and detail vary with photography and screens, and prices, availability and specifications may change without notice and may occasionally contain errors. The Site is provided “as available” and we do not warrant it will be uninterrupted or error-free.
Part B — Conditions of Sale
These Conditions of Sale govern your purchase of an artwork (the “Artwork”) from Composition. Please read them before buying.
B.1 Composition is the seller
Unless we notify you before checkout that a different seller applies to a specific Artwork, Composition is your seller. Composition sells each Artwork as principal and seller: we source the Artwork, set the price, conclude the sale in our own name, and are your contracting party and the party responsible to you for the Artwork on these terms. The Artwork is dispatched to you directly by our fulfilment partner or source on our behalf; this does not change the fact that Composition is your seller. In certain transactions, a source gallery, artist, consignor or fulfilment partner may invoice you directly. Where this applies, it will be clearly disclosed to you before the sale is concluded, and the relevant invoice will identify the contracting seller.
B.2 Your status: Consumer or Business buyer
- A “Consumer” is an individual buying wholly or mainly outside their trade, business,
craft or profession.
- A “Business buyer” is anyone else, including anyone buying through a company or for
resale.
- You confirm your status when you place your order. Several provisions below — in
particular the right to cancel in clause B.11 — apply only to Consumers.
B.3 The Artwork — descriptions and condition
We describe each Artwork as accurately as we reasonably can, based on our own examination and the information available to us. Descriptions and condition notes are statements of opinion, not warranties, except for the authorship guarantee in clause B.13. Many works, especially older ones, show signs of age, wear or earlier restoration; photographs may not capture every detail and colours vary on screen. If condition matters to you, request a condition report and further images before buying. Except for the authorship guarantee in clause B.13 and any non-excludable rights you have as a Consumer, each Artwork is sold “as is.”
B.4 Placing an order
To buy, you provide accurate details (full name, email, address, phone) and confirm you are 18 or older. We do not take payment at checkout. Placing an order (for example by selecting “Buy” or contacting us to purchase) is an offer to buy at the listed price; a contract forms only when we send your order confirmation and invoice. We may decline or cancel an order — for example for suspected fraud, inability to verify you, pricing or availability errors, or where the Artwork cannot lawfully or practically be shipped to you — and if we do, we refund any payment already made in full.
B.5 Availability and non-delivery
Each Artwork is a unique object and its continued availability depends on our source. If, after your order is confirmed or invoiced, the Artwork becomes unavailable for any reason — including that our source can no longer supply it, or it has been lost, damaged, withdrawn or already sold — our sole obligation is to refund you in full any amount you have paid, and you will have no further claim against us. In particular, you will have no claim for any additional, indirect or consequential loss (such as a lost resale or any difference in value), and you may not require us to supply the Artwork or any substitute. We will tell you promptly if this occurs.
B.6 Price, taxes, import VAT and duties — you are the importer
- Prices are in USD, EUR, GBP or CHF as shown, and are exclusive of shipping and of
all taxes, import VAT and customs duties.
- Artworks are shipped DAP (Delivered At Place, Incoterms® 2020). Composition is
never the importer of record. The Artwork is shipped to you, and you are the importer of record in the destination country, solely responsible for import VAT, customs duties, clearance and any related formalities. These are payable by you to the carrier or authorities, not to us.
- Unless expressly stated otherwise on the invoice, no VAT is charged by
Composition, and any import VAT, customs duties, clearance charges and related taxes remain the responsibility of the buyer. You are responsible for checking your country’s import requirements before you buy. Customs delays or refusals after dispatch are not grounds to cancel.
B.7 Payment
- We do not take payment at checkout. After you place an order we issue an invoice,
and payment is due within five (5) calendar days of the invoice date, by the method stated on the invoice. We release the Artwork only once full payment (and any shipping charge) has cleared.
- Card-processing surcharge. Where you choose to pay by card, a card-processing
surcharge may apply; the amount will be shown to you before you pay, and bank transfer is available as an alternative. We may decline card payments at our discretion — in particular, we may require payment by bank transfer from first- time buyers. For new clients or larger sums we may carry out identity, address and source-of-funds checks. We do not accept cash, and we accept payment only from the buyer unless agreed in writing beforehand.
- Unjustified chargebacks: if you start a card chargeback that the issuer finds
unjustified, you agree to reimburse the charged-back amount plus any third-party fees and our reasonable recovery costs.
B.8 Shipping, packing and insurance
Shipping is arranged on your behalf, at your cost, through a professional fine-art carrier. A separate shipping quote/invoice may apply and must be paid before dispatch. The Artwork is professionally packed and insured against loss or damage in transit, from dispatch until it is delivered and signed for at your delivery address. The seller/source bears the risk during transit; once the Artwork has been delivered and signed for, it is no longer our responsibility and the risk has passed to you (clause B.9). Indicative transit times: 3–4 weeks within the continental US or the EU, up to 8 weeks elsewhere; these are estimates affected by customs and carriers.
B.9 Delivery, risk and inspection
- Risk of loss or damage passes to you on delivery. Title passes once we receive full
cleared payment.
- Please inspect on arrival. If packaging is visibly damaged, note it on the carrier’s
delivery receipt before signing, then open and inspect, and keep all packaging.
- Signature required — do not waive it. For insurance and security reasons, all
shipments require a signature on delivery and the carrier may not leave an Artwork unattended. If you instruct the carrier — directly or indirectly, including via the carrier’s website or app — to leave the parcel without a signature, the transit insurance is void and all risk and responsibility pass to you.
- Please report any loss or damage to us as soon as reasonably possible, and
within three (3) calendar days of delivery, with photographs of the packaging and the Artwork. This is to help us preserve the transit-insurance claim, which insurers may reject if notified late — so prompt notice protects your remedy. This request does not limit any mandatory statutory rights you may have. Where you report within this period with the required evidence, we will manage the insurance claim and arrange repair, replacement or refund as appropriate.
- Your cooperation with the carrier and customs; one delivery attempt. You must
respond promptly to any request from the carrier or customs in the destination country — for example for identity or tax details (such as a tax or social-security number), import documents, duties or clearance information. If you do not respond within the carrier’s or customs’ deadline (which can be just a few days), or the Artwork otherwise cannot be delivered for reasons attributable to you, it may be returned to origin at your cost, and any return shipping, storage, duties or destruction charges are your responsibility. Carriers may make only one delivery attempt; if delivery is missed, it is your responsibility to collect the Artwork from the carrier’s depot or arrange redelivery, and any resulting charges are yours.
B.10 Business buyers — all sales are final
This clause applies to every Business buyer (anyone not buying as a Consumer, including all purchases made through a company, partnership, trust or other entity, and all purchases for the purposes of a trade, business, craft, profession or resale). If you are a Business buyer you acknowledge and agree, as a fundamental term of sale, that:
- (a) All sales are final and binding. Once a contract is formed under clause B.4, the sale is
concluded and is not subject to any right of cancellation, withdrawal, return, exchange, “cooling-off” period or refund, whether under the EU Consumer Rights Directive, any national distance-selling or consumer-protection law, or otherwise, none of which apply to Business buyers.
- (b) You confirm that you have had the full opportunity to inspect the Artwork, request
condition reports and additional images, and make all enquiries you consider necessary before committing to buy, and that you rely on your own judgement and any independent professional advice you choose to obtain, and not on any statement, description, image or opinion provided by Composition save for the express authorship guarantee in clause B.13.
- (c) You accept that each Artwork is a unique, second-hand or pre-owned object sold
“as is” in its condition at the time of sale, that variations of colour, surface, scale and condition are inherent to original works of art, and that no warranty of condition, quality, merchantability, satisfactory quality or fitness for any particular purpose is given, to the fullest extent permitted by law.
- (d) You agree that no claim for cancellation or refund may be made on the basis of a
change of mind, a change in market value, a change in your circumstances, a difference between the Artwork’s on-screen and physical appearance, or any matter you could have established by inspection or enquiry before purchase.
- (e) Your only post-sale remedies are (i) the authorship guarantee in clause B.13, (ii) the
transit loss/damage process in clause B.9, (iii) a refund where the Artwork is unavailable under clause B.5, and (iv) any liability of Composition that cannot lawfully be excluded.
- (f) You agree that this clause is reasonable given the nature of the Artworks, the price
transparency provided before sale, and your status as a professional or business purchaser, and that it has been specifically drawn to your attention.
B.11 Consumers — your right to cancel (EU / UK distance sales)
If you are a Consumer resident in the European Union or the United Kingdom, you have a statutory right to cancel a distance purchase within 14 days, and the following applies. This right applies only to such Consumers — it does not apply to buyers located elsewhere (including the United States) or to Business buyers. Please read it carefully, because cancelling a purchase of fine art is costly and you bear those costs.
- Period. The 14 days run from the day you (or your nominee) take physical possession
of the Artwork.
- How to cancel. Tell us with any clear statement of your decision to cancel — by
email to [email protected], by post, or through our website contact form — within that period. You may use the model cancellation form available on request, but you do not have to.
- You bear all costs and steps of the return. If you cancel, you are responsible, at
your own expense and arrangement, for all of the following:
- Return shipping — the full cost of returning the Artwork to the address we
specify.
- Professional fine-art packing — the Artwork must be packed to
professional fine-art standard by a qualified art handler (ordinary consumer packing is not adequate for original works).
- Full-value transit insurance — you must insure the Artwork for its full
purchase price for the entire return journey. The risk of loss or damage in transit remains with you until we receive the Artwork; if it is lost or damaged on the way back, that is your loss.
- Export and re-import formalities — you must return the Artwork through a
carrier or agent that completes all export clearance and customs formalities; all such formalities are your responsibility.
- Customs duties and import VAT — any import VAT and customs duties you
paid on delivery are not refunded by us. You may be able to reclaim them from your own customs authority on re-export of the Artwork; doing so is entirely your responsibility, and we accept no liability if you cannot recover them.
- Condition. The Artwork must be returned adequately and professionally packed
and in the same condition in which you received it. You are liable for any loss in value resulting from handling beyond what is necessary to examine it, and we may deduct that loss from your refund. If the Artwork is returned damaged or materially altered, the claim may fail in whole or in part.
- What we refund. We refund the purchase price plus the original standard
outbound delivery charge (not any premium delivery upgrade), within 14 days of being notified. We may withhold the refund until we have received the Artwork back and inspected it.
- Exclusions. The right to cancel does not apply to Artworks made or personalised to
your specification (e.g. a commissioned work), or to other categories excluded by law.
B.12 Damaged, lost or non-conforming Artworks (all buyers)
Separately from any right to cancel, if the Artwork arrives damaged, lost, or materially not as described, and you notify us within the timeframe in clause B.9 (or, for non-transit non-conformity, within 14 days of delivery) with supporting evidence, we will, as appropriate, arrange repair, replacement or refund. This 14-day notice request does not shorten or limit a Consumer’s non-excludable statutory rights for faulty or misdescribed goods, which survive in full.
B.13 Authorship guarantee
We guarantee the Artwork is by the artist as stated in the description and any Certificate of Authenticity. If, within two (2) months of delivery, the Artwork is shown not to be authentic — authenticity being determined in writing by the artist or the artist’s estate (opinions of auction houses, dealers or other third parties are not conclusive) — the sale is voided and the price refunded in full on return of the Artwork in its original condition. To claim, notify us in writing within the period with the relevant evidence.
B.14 Export, import and restricted materials
You are responsible for compliance with export and import laws, licences and permits for your country, including for works subject to cultural-heritage rules or containing restricted materials (e.g. ivory, certain corals, rosewood and other CITES-listed materials, which we flag where known). We make no warranty about an Artwork’s export/import status. Delay or refusal of a permit is not a ground to cancel or delay payment after dispatch. If we reasonably determine an Artwork cannot lawfully be shipped to you, we may cancel and refund.
B.15 Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including war, civil unrest, terrorism, epidemic or pandemic, natural disaster, fire or flood, strikes or labour disputes, carrier or logistics failures, border or customs closures, sanctions or government action, and failures of power, internet or payment systems. While such an event continues, our obligations are suspended and timeframes extended accordingly. If it continues for more than 30 days, either party may cancel the affected sale, and we will refund any amount you have paid for an Artwork not yet delivered, with no further liability on either side.
B.16 Sanctions and export controls
By purchasing, you warrant that you are not a person or entity subject to economic or trade sanctions and are not acting on behalf of any such person, and that your purchase does not breach any applicable sanctions or export-control laws. We may refuse, suspend or cancel any sale, and withhold delivery, and refund you, where we reasonably believe the transaction would breach such laws or our compliance obligations, without further liability to you.
B.17 Liability
- Nothing in these Conditions limits liability for fraud or fraudulent
misrepresentation, for death or personal injury caused by negligence, or for any liability that cannot lawfully be limited — including Consumers’ non-excludable statutory rights, which are unaffected.
- Subject to that, and except for the authorship guarantee, we are not liable for any
indirect or consequential loss of any kind (including loss of profit, opportunity, anticipated savings or goodwill), and our total liability to you in connection with any Artwork is limited to the price you paid for that Artwork.
- Where an Artwork is unavailable, our liability is limited to a refund as set out in clause
B.5.
B.18 Resale
You must take delivery of and pay for an Artwork in full before offering it for resale.
B.19 Non-payment
If you do not pay in time, we may cancel the sale and re-offer the Artwork, retain any deposit toward our reasonable losses, charge reasonable interest on overdue sums, and recover reasonable recovery costs. Additional remedies — Business buyers only. Where the buyer is a Business buyer, we may also, in our discretion: (i) store the Artwork at the buyer’s cost and risk; (ii) charge interest at 12% per annum from the due date until paid; (iii) resell the Artwork by private sale or auction and recover from the buyer any shortfall against the original price together with our commission on both transactions and all reasonable resale costs; (iv) set off sums the buyer owes against any sums we owe the buyer; and (v) recover all costs, losses and expenses (including legal and debt-collection fees) of recovering the amount due. These additional remedies do not apply to Consumers.
B.20 Pricing errors
If an Artwork is listed at a clearly incorrect price due to an error, we may correct it before accepting your order, or decline/cancel and refund you in full, even if you have been charged.
B.21 Governing law and disputes
- Governing law. These Conditions, and any dispute or claim arising out of or in
connection with them or any purchase, are governed by the law of Georgia (country). If you are a Consumer, you also keep the mandatory consumer protections of your country of residence, and you may bring proceedings in your local courts where the law allows; we always try to resolve complaints informally first — please contact [email protected].
- Business buyers — arbitration. Any dispute with a Business buyer that cannot be
resolved informally will be finally settled by binding arbitration seated in Tbilisi, Georgia, before a single arbitrator, under the rules of the Georgian International Arbitration Centre (GIAC), Tbilisi, conducted in English. Either party may nonetheless apply to the courts of Georgia for interim or injunctive relief.
B.22 General
These Conditions, your order confirmation and invoice, and any terms shown on the Artwork page, are the whole agreement for your purchase. If any provision is unenforceable, the rest stand. Our failure to enforce a right is not a waiver. You may not assign your rights without our consent. Part C — Shipping, Delivery & Returns (plain-language summary)
This Part is a plain-language summary for convenience. The binding terms are in Part B above, which prevails if there is any difference.
What if the parcel is visibly damaged when it’s delivered?
If the packaging shows visible damage at the time of delivery, please make a note of it on the courier’s delivery slip before signing, and take clear photos of the damaged parcel. This helps us process any insurance claim quickly.
What if my artwork is damaged or not as described?
If you notice any damage to the artwork, or the item is different from what you ordered, please contact us within 3 days of receipt at [email protected]. Include detailed photos of the artwork and the packaging, and keep all packaging materials until the issue is resolved. (This does not affect your statutory rights or our authenticity guarantee, set out above.)
Can the courier leave my package at the door?
No. For insurance and security reasons, all shipments require a signature on delivery, and couriers are not permitted to leave artworks unattended. If the recipient instructs the courier — directly or indirectly (for example via the courier’s website or app) — to leave the parcel without a signature, the shipping insurance is immediately void and all risk and responsibility transfer to the recipient (see clause B.9).
What happens if I miss the delivery, or the courier asks me for information?
Carriers may make only one delivery attempt. If you miss it, it is your responsibility to collect the artwork from the courier’s depot or arrange redelivery, using your tracking number. Couriers — especially for imports — may also ask you for extra information (identity or tax details, import documents, duties). If you don’t respond within their deadline (often only a few days), the parcel may be returned to origin at your cost. If the artwork is returned to us for any of these reasons, additional shipping, storage or duty charges may apply and are your responsibility. If you expect to be unavailable, or your shipment is an import, please contact us in advance and watch for courier messages.
How long will it take for my purchase to be delivered?
We aim to dispatch artworks within 5 business days of receiving full payment, though this can vary. Some works are held in art storage, require special crating, or must be unframed before shipping — these may extend preparation to up to 2 weeks. Delivery times then depend on the courier, destination and customs procedures. We appreciate your understanding if delays occur beyond our control.
Are there any taxes or duties I should be aware of?
Depending on your location, your purchase may be subject to local import duties, VAT, sales tax or similar charges. These are normally not included in the price unless legally required at the time of sale. Within the EU, shipments between member states generally avoid import duties, and some countries apply a reduced VAT rate for art (for example, an effective rate of around 5% on art imports in the UK — rates change, so please check current rules for your country). If any such taxes are assessed after delivery, the buyer is responsible for paying them, including any penalties or interest. We recommend consulting your local customs or tax advisor before purchasing.
What if the artwork is coming from a third party?
Sometimes we collect the artwork from a consignor, publisher or partner gallery after you purchase. If, for any reason, the artwork cannot be delivered to us, we reserve the right to cancel the sale and refund you in full — this concludes our obligation for that order (see clause B.5).
